Can you down save to 2009 when in 2010?

No just as in previous versions of Revit. There is no backwards compatibility.

i kinda figured that before i opened up the file...but i opened it up anyway! which is a problem considering the clients are not moving to 2010 till july!!!

You can open it all you want...just don't save over your original 2009 file. If you do, go to your first backup, which will still be the 2009 version.

Isn't that kinda dangerous if it's a workshared RVT? What happens if Revit 2010 starts needing to borrow 2009 worksets?

Very true! Of course, my answer below was for a stand-alone file. When dealing with worksets, one must take much more care and planning when dealing with upgrading files. If you upgrade a local copy, Revit will warn you that the local is from a newer version and that it can't save to central. The central file needs to be upgraded to the latest version. Then everyone on the team needs to make new locals from the central in the new version.

Is "Audit" recommended while upgrading, or does that happen automatically?

Revit will perform the audit automatically when upgrading.

Is there a place to obtain the Revit 2010 MEP and Structural New Features documentation shipped with those products for review? We are doing Revit 2010 Suite New Features for our Revit user group meeting next week and it would be nice to have access to them. I have the earlier ones that are part of the general marketing but I do not have the ones shipped with the product.

Found out this does not exist in PDF form for Revit MEP. This only item like this is the New Features Workshop CHM.
