i'm trying to open revit files from the 2008 version in the 2010 version, but each time it starts to upgrade the file and stop in the middle announcing Fatal Error.
anyone has an idea why? what should i do?

Dunno; but try opening with Audit option.
Also, turn off any links in the RVT in 2008, first.
If you still have a valid license of 2008, open your project using the AUDIT option in 2008.
Oftentimes the thing preventing an upgrade is an error that's been lurking in the project all along. Cleaning up the error BEFORE the upgrade will probably help.
contact your reseller to get support. They can either upgrade your file, or send it to Autodesk for upgrading. It sounds like you are running out of memory. Upgrading files from 2008 and earlier to 2009 and later is memory intensive due to the material upgrades for the change in rendering engines.
