Hi. I found that this thread helped me when i had the same problem. Actually, the first answer to the post was what I needed -- it was opening up offscreen.

Do you get any sort of response from your Command Line? It may be that you have turned off the dialogue boxes. To fix this you would need to change the value of "CMDDIA" to "1".
What command or button are you using to start the layer manager?
If Autocad appears to "hang" on the layer command until you hit esc, it may be that the dialog box is off of the screen. Try hitting ALT+Spacebar, then M, then use the arrow keys to see if you can reposition it so it's visible on the screen.

No hunting or trial and error required. The move, resize, etc. dropdown appears on the side of the screen that the dialog box is on and will be visible, so generally it's a matter of moving it left, (more often than not, in my experience) or right with the appropriate arrow key.Originally Posted by CADDmanVA
