Here is what I found out it is:

The files (3 so far) where created by our client using
    AutoCAD Civil 3D 2008...

Here are the steps I need to take to fix these files:

    >>>Open the file using Civil 3D 2008 and create a wblock.
    >>>Next, using a clean AutoCAD 2008, insert the block, explose it once and then save back to 2004 format.

Now using AutoCAD 2006 I can easily open the file with no problems...

Does anyone know of a better or easier and faster way...???

    Thanks

From civil3d 2008, use the "Export to AutoCAD" option in the files pulldown, and specify 2004 as the format.

    Well,

I call the client and they were just doing a saveas and didn't know about where that export to autocad was...

Lead them through and now the files open with no problems...

    Thanks again for your help...

I fix my problems by opening the drawings in Civil 3D 2008 and Exporting (as noted above by cadtag)...

    File>Export>Export to AutoCad>2004 Format...

This fixed the problems I was had with that eDu..@#$@#%% Dialop...

    Hope this help you too...
